Pay Per Lead

Sales leads generated and provided to you will be contacted by your organization only to provide your agreed upon services according to the information provided by the prospective customer and in compliance of the terms and conditions of your membership as a Tell Vision Vendor. This prospective customers information is not to be re-sold or used for telemarketing, continuous unsolicited mailings, whether these mailings are electronic or snail mail

You agree not to use our service:

• For any purpose in violation of local, state, national, or international laws;
• In a manner that infringes on the intellectual property rights of others or on the privacy or publicity rights of others;
• To transmit, post, or reply to a posting on the Sites, or make available any information, data, text, files, links, software, chat, communication, or any other materials that are unlawful, harmful, threatening, abusive, invasive of another's privacy, harassing, defamatory, slanderous, vulgar, obscene, hateful, racist, embarrassing or otherwise objectionable to any other person or entity as determined by Respond Service in its sole discretion;
• To transmit, post or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "Spam," "chain letters," "pyramid schemes," or any other form of solicitation.
• To impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• To post improper responses;
• To cross-sell other products or services or responding to requests with information that does not directly relate to the Buyer's request;
• To 'stalk' or otherwise harass another;
• To distribute viruses, corrupted files, or any other similar software or programs that may damage or interfere with the operation of another's computer or telecommunications equipment or utilize the resources of another's computer or telecommunications equipment without such parties express permission;
• To collect or store personal data about others;
• To engage in any other conduct that inhibits any other person from using or enjoying Yadaya.com and which negatively affects the user experience. It is also agreed and understood that the information made available for sale by Tell Vision is for the exclusive use of Tell Vision's participants and advertisers and therefore client agrees not to lend out, sell nor allow any unauthorized usage, nor permit any reproduction thereof. Any unauthorized use of the purchased information by third parties causes damage to Yadaya.com, the actual amount of damage would be difficult to determine, that Tell Vision may, therefore at its option, pursue an action to enjoin the use or seek judgment at law for $2500.00 for each permitted unauthorized use; such being the agreed and stipulated damage.

Business Account

Upon approval, you will receive a business account and password ("Your Account"). Yadaya.com reserves the right to approve or disapprove category selections to ensure that the leads provided to You are appropriate for Your business. You are responsible for all activities that occur under Your Account. You may not allow anyone else to use Your email address and You may not use anyone else's email address while using the Service. You agree to notify Tell Vision immediately of any unauthorized use of Your Account or email or any other breach of security. Tell Vision will not be liable for any loss or damage arising from your failure to comply. Tell Vision, in its sole determination, will determine whether or not to offer either one or both of the lead pursuit methods to any business or businesses within its network.

Lead Delivery

All Tell Vision Vendors agree to maintain a valid email address for the purpose of lead delivery. Venders are to inform us immediately of any changes in email address or personnel responsible for handling the leads.

Fees and Charges - (Single Purchase Program)

Tell Vision accepts payment for the Service by credit card only. You must provide Tell Vision with current, valid credit card account information at the time that You first subscribe to the Service. Payments are made using one of the major credit cards: Visa, Master Card, and American Express. Vendors agree to maintain a valid credit card on file and to notify Tell Vision of any changes that may affect billing.

A $20.00 - $40.00 monthly service charge (depending on your vendor category) will be automatically applied to you valid credit card on file. These charges will take place each month on the anniversary of your sign up date. In order to maintain your Askmarlow.com vendor listing you must be current with your monthly re-occurring charge. Any credit card that will not allow us to complete this monthly transaction for what ever reason must be replaced with a valid card with in 48 hours of our e-mailed suspension alert or the participating vendors on line profile and listing will be removed from askmarlow.com. In addition the participating vendor will be suspended from viewing general leads and any direct referral inquires. Any pre-purchased or upgraded positioning will be forfeited. Monies from the vendors general lead purchase fund can not be transferred over to satisfy the pre-determined re-occurring monthly charge.

Your general lead purchasing fund requires a minimum starting balance of $100.00. Your account will automatically be deducted the amount of each lead that you decide to purchase. When your balance through purchases reaches a level lower than $10.00 an e-mail notice will be sent to you informing you of the replenish options available to you. The Money in your lead purchasing fund is completely refundable at any time.

The Predetermined 3-6 or 12 month service charge will be automatically applied to you valid credit card on file. These charges will take place after the conclusion of the contracted period on the anniversary of your sign up date. In order to maintain your AskMarlow.com vendor listing you must be current with your recurring charge. Any credit card that will not allow us to complete this transaction for what ever reason must be replaced with a valid card with in 48 hours of our e-mailed suspension alert or the participating vendors on line profile and listing will be removed from AskMarlow.com. In addition the participating vendor will be suspended from viewing general leads and any direct referral inquires. Any pre-purchased or upgraded positioning will be forfeited. A re-en statement fee of $25.00 will be charged to bring the account current.

New Clients must pay for 2 months of service in advance.

Quarterly check customers will be invoiced 2 weeks prior to the conclusion of the previously paid 3 month term. If payment is not received by the predetermined due date, the account will be suspended. A re-en statement fee of $25.00 will be charged to bring the account current.

Referral fees and policy

This Fee and Credit Policy is incorporated into and is made a part of the digital or written advertising agreement between you and Ask Marlow.com.

Secured contract referral fee schedule

You shall pay to Ask Marlow.com the specified referral fee for each "Secured Contract", which means a situation where a Client locates and secures your service as a result of a Ask Marlow consultants referral. A successful transaction is defined as a signed contract and a received deposit. Subsequent payments and balance payments are to be collected and ultimately the responsibility of the vendor. The vendors credit card on file will be charged the agreed upon Ask Marlow referral fee only when the deposit is received by the vendor. Failure to pay our referral fee for whatever reason will result in immediate suspension from the Ask Marlow referral program.

Ask Marlow coordinators will present each and every potential deal to Participating Vendors. All vendors will have the opportunity to accept or decline the opportunity to have their company included in the interview process. If chosen the vendor will be obligated to pay Ask Marlow.com a referral fee (only when a signed contract and a deposit is received) according to the following schedule.

• Confirmed Contracts  $500.00 - $1000.00 Referral Fee - $75.00
• Confirmed Contracts  $1001.00 - $1500.00 Referral Fee - $100.00
• Confirmed Contracts  $1501.00 - $2000.00 Referral Fee - $125.00
• Confirmed Contracts  $2001.00 - $2500.00 Referral Fee - $150.00
• Confirmed Contracts  $2501.00 - $3000.00 Referral Fee - $200.00
• Confirmed Contracts  $3001.00 - $5000.00 Referral Fee - $250.00
• Confirmed Contracts $5001.00 - $7000.00 Referral Fee - $350.00
• Confirmed Contracts  Over $7001.00 Referral Fee - $450.00

Early termination and cancellation credit

Ask Marlow referral fees are not refundable to the vendor regardless of the bride’s completion of their signed agreement with you. Be sure to secure a deposit large enough to cover our referral fee and a partial deposit for securing the date.

Lead Dispute

Tell Vision Vendors may dispute sales leads by using our easy online dispute component. Tell Vision lead generating engines will filter a majority of fake leads, occasionally some unqualified leads can slip through unnoticed. Leads that contain bad contact information, fictitious information, and/ or obscenities will be evaluated by Tell Vision and credited upon confirmation.

Leads must be disputed with-in 72 hours of receipt. If the email is not opened in that 72 hour period the lead will become valid and charged to the vendors account.

The following criteria constitute an Invalid lead:

• Leads submitted by minors.
• Duplicate leads (within 30 days).
• Invalid phone number and email on the lead.
• Erroneous name on the lead.

Participating vendors agree that leads that do not close for reasons such as price, options, timing of purchase, etc are not considered invalid, and may not be returned. Tell Vision reserves sole discretion as to determine validity of a lead.

Pay As You Go Lead Dispute

Participating vendors agree that leads that do not close for reasons such as price, options, timing of purchase, etc are not considered invalid, and may not be returned. Upon validating a Vendors dispute Tell Vision will provide a replacement lead voucher to be used by the Vendor at any time for a period of 1 year from the dispute date.

Cancellation Terms

Tell Vision, it's subsidiaries and the participating vendor reserve the right to cancel this agreement and services at any time. The Vendor agrees that cancellation of agreement shall be made in writing by e-mail, fax, certified mail or in-person. Tell Vision's Reasons for termination of service may include but are not limited to:

• Non-payment of bills.
• Three or more consumer complaints issued against advertiser.
• Unethical or immoral behavior.

Service Use

The Service may be used only for lawful purposes. Tell Vision specifically prohibits any use of the Service for unlawful purposes, and vendors agree not to use the Service for any unlawful purposes, or for posting any incomplete, false or inaccurate information, or any obscene, indecent or offensive language or to place on the Service any material that is false, defamatory, abusive, harassing or hateful. In addition, each user agrees not to (1) rent, transfer, distribute or grant any rights in the Service in any form; or (2) use the Service for any purpose that Tell Vision deems to be inappropriate.

You acknowledge and agree that all of the content and information posted on the Tell Vision family of web sites, is the sole and exclusive property of Tell Vision. You acknowledge and agree that you have no right to reproduce, or otherwise use any of the content.

Execution, Governance, and Jurisdiction

You will be liable for any attorneys' fees and costs if we have to take any legal action (including the retention of a lawyer) to enforce this Agreement. You hereby consent and agree that the state or federal courts in Michigan are the exclusive forum for litigation of any claim by you arising under this Agreement, and you submit to sole and exclusive jurisdiction in the state of Michigan, and hereby irrevocably waive and relinquish any right to bring, or cause to be brought, any such action, or to have any such action brought, in any judicial or administrative forum outside of such forum.

Indemnification

Participating Vendors agree to indemnify and hold Tell Vision its subsidiaries, affiliates, officers, directors, agents, and employees, harmless for any and all claims, demands, obligations, liabilities, violations, charges, grievances and causes of action, in law or equity, and any and all infringements or allegations of any nature, and any and all injuries losses or damages of any nature which arise in any way from your participation in the Tell Vision-Yadaya program, or from any Customer for which you received a Customer Project.

Project Acceptance

Notice to Advertisers

All content used on the askmarlow.com pages for advertising your business cannot be guaranteed by TellVision. TellVision assumes no responsibility or risk related to clients or third parties received from an advertisement for your services or products on any of the askmarlow.com pages. TellVision reserves the right to refuse an advertisement to any business on the askmarlow.com pages. Payments received for monthly or annual payments for advertisements on any of the askmarlow.com pages are nonrefundable.
